Purchase Agreement

1. Parties

This Agreement is entered into between Ivoire Auto, a division of Performance Supply Depot LLC ("Seller"), and the purchaser ("Buyer") of an ICON4x4 vehicle.

2. Vehicle Description

The vehicle shall be described by year, make, model, VIN, and build specifications as detailed in the order confirmation. All ICON4x4 vehicles are hand-built in Los Angeles, California, USA.

3. Purchase Price and Payment

• Total purchase price includes vehicle cost, export documentation, shipping to Abidjan, and estimated import duties.
• Payment may be made via wire transfer, Bitcoin, or credit card (3% processing fee applies).
• A 50% deposit is required to initiate the build or reserve an existing vehicle.
• Balance is due prior to shipping from Los Angeles.

4. Delivery and Timeline

• Custom builds: 12-18 months from order confirmation.
• Existing inventory: 4-6 weeks for export processing and shipping.
• Shipping time from Los Angeles to Abidjan: approximately 3-4 weeks via container.
• Seller shall provide tracking information once vessel departs.

5. Côte d'Ivoire Compliance

• Buyer is responsible for import duties, taxes, and customs fees upon arrival in Abidjan.
• Estimated duties: approximately 25% of CIF value (included in initial quote).
• Seller provides all necessary export documentation including title, bill of sale, and export certificate.

6. Warranty and Condition

• ICON4x4 vehicles carry a 12-month limited warranty on craftsmanship and components.
• Warranty covers defects in materials and workmanship under normal use.
• Warranty is transferable within Côte d'Ivoire with proper documentation.
• Vehicles are sold in "as-is" condition for collector/export purposes unless otherwise specified.

7. Risk and Title Transfer

Risk of loss transfers to Buyer upon delivery to the shipping carrier in Los Angeles. Title transfers upon full payment clearance and completion of export documentation.

8. Cancellation and Refunds

• Custom builds: Deposits are non-refundable after build initiation.
• Existing inventory: Orders may be cancelled within 48 hours for full refund.
• After 48 hours, a 10% cancellation fee applies.
• No refunds after vehicle departs Los Angeles.

9. Dispute Resolution

Any disputes arising from this Agreement shall be resolved through binding arbitration under AAA rules in Miami-Dade County, Florida, USA. Each party bears its own costs. This Agreement is governed by Florida law.

10. Limitation of Liability

Seller's liability is limited to the purchase price of the vehicle. In no event shall Seller be liable for indirect, consequential, or punitive damages.

11. Export Compliance

Buyer acknowledges that export of vehicles is subject to U.S. Export Administration Regulations (EAR), Customs and Border Protection requirements, and OFAC sanctions. Buyer warrants that they are not on any restricted party list.

12. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements. Modifications must be in writing signed by both parties.
